Terms of Service

1. Scope and Applicability

These General Terms and Conditions ("Terms") apply to all services provided by AmiSyn B.V., including its divisions Amisec, Amiphished, and AmiCloud ("Company", "we", "us", or "our") to clients ("Client", "you", or "your").

By engaging our services, you accept these Terms in their entirety. Any deviating terms must be agreed upon in writing.

3. Agreements and Pricing

1. All quotations are valid for 30 days unless stated otherwise
2. Prices are exclusive of VAT and other applicable taxes
3. Services are invoiced monthly or as agreed in the service agreement
4. Payment terms are 14 days unless otherwise agreed
5. Late payments incur 1% interest per month

4. Client Obligations

The Client shall:

• Provide timely and accurate information required for service delivery
• Grant necessary access to systems and personnel
• Comply with applicable laws and regulations
• Maintain confidentiality of credentials and access tokens
• Notify us promptly of any security incidents

5. Confidentiality

Both parties agree to keep all confidential information received during the engagement strictly confidential. This obligation survives termination of the agreement for a period of 5 years.

6. Liability

1. Our liability is limited to the amount invoiced for the specific service in the 12 months preceding the claim
2. We are not liable for indirect, consequential, or incidental damages
3. Claims must be submitted within 6 months of discovery
4. Force majeure events excuse performance obligations

7. Intellectual Property

All intellectual property rights to deliverables, tools, methodologies, and reports remain with AmiSyn B.V. Clients receive a non-exclusive, non-transferable license to use deliverables for internal purposes only.

8. Term and Termination

• Agreements have the term specified in the service agreement
• Either party may terminate with 30 days written notice
• Immediate termination is permitted for material breach
• Upon termination, all outstanding invoices become immediately due

9. Governing Law

These Terms are governed by Dutch law. Any disputes shall be resolved exclusively by the competent court in Utrecht, Netherlands.
